This is an agreement between Diesel Boss, Inc. (Company) and Customer named below.  The customer wishes to test the __________ (make/model) prior to purchasing similar equipment from the Company.  The Company maintains a limited supply of equipment intended only for demonstration purposes.  The demonstration is intended only to allow the Customer to determine if the equipment satisfies the Customer’s application requirements. 

Charges:

There will be a security deposit of $300 collected on each demonstration unit.  This equipment is for demonstration purposes only and will last for a period of two weeks from the time of installation.  During this two-week duration, there will be a maximum of 20 “pings” per unit.  A .50¢ charge will apply to each “ping over the allotted 20 “pings”.  If the equipment does not meet the Customer’s application needs, then the equipment should be returned in original working condition.  If the equipment is returned, then the Company will refund the Security Deposit, less any overage charges and/or damage costs to the equipment.  Company retains the right of determine if the equipment has been damaged but will notify the Customer before charging for any necessary repairs. 

Shipping & Usage Costs:

Customer agrees to pay all shipping and usage charges associated with the demonstration.  A shipping charge of $15 will be added to each demonstration unit. It is the Customer’s responsibility to know the usage rate for any communication used.  If there are any questions, please contact Company, prior to demonstrating.

Disclaimer:  Customer agrees that neither Company, its suppliers of service or equipment, nor any of their respective affiliates, resellers or agents shall be liable on any basis whatsoever (including in contract and in tort) to Customer for any direct, indirect or consequential loss, damage or expense, including, without limitation, loss of profits or revenues, loss of distribution rights, abortive expenditure or damage to property or injury of death to persons arising from or in connection with (a) any unavailability, delay, interruption, disruption or degradation in or of the space segment or of any telecommunications carried on the space segment, regardless of cause including, but without limitation, equipment failure or malfunction; or (b) the suspension by Company or Customer’s suppliers of the equipment’s authorization to use services provided by Company or Company’s suppliers, due to any cause whatsoever.
